Business owners, banks and accountants still commonly refer to Form A/B and Form 29. These terms remain useful when reviewing historical records, but current filings must follow the applicable Companies Regulations and SECP submission process.
Historically, Form A applied to companies having share capital, while Form B applied to companies without share capital. The current Form A under the Companies Regulations, 2024 covers annual returns under both sections 130(1) and 130(2) of the Companies Act, 2017. The current directors and officers return is Form 9, which replaces the older Form 29. SECP’s current forms directory should therefore be checked before preparing a submission.
Filing Requirement | Familiar or Historical Reference | Current Filing Approach |
Annual particulars of a company | Form A or Form B | Use the applicable current Form A and complete the relevant sections |
Appointment, cessation or changes concerning directors and specified officers | Form 29 | Prepare the applicable Form 9 |
Annual confirmation where particulars remain unchanged | No-change annual return | Consider Form 24 and the relevant statutory exemption |
Ultimate beneficial ownership compliance | Separate ownership declarations | Assess applicable Form 19 and supporting record requirements |
The annual return and the officers’ return serve different purposes. Updating the annual snapshot does not automatically discharge a separate obligation to report an appointment or resignation.
Corporate filing requires consistency between the company’s decisions, statutory registers and SECP records. An incorrect entry can create difficulties with banking, investment, ownership verification, or later changes in management.
Our corporate filing review addresses:
For example, if a director resigned during the year, the resignation date should agree with the supporting record. The annual return should reflect the position at its reporting date, while the separate officers’ filing should report the relevant event.
Section 130 generally requires an annual return within 30 days of the annual general meeting. Where no AGM is held, or the meeting is not concluded, the statutory reporting framework refers to the calendar year-end. A listed company may receive a limited extension from the registrar for special reasons; this should not be treated as automatic.
Submitting a return does not correct a failure to hold a required meeting. Corporate filing lawyers should review both obligations and identify whether any extension, explanation or separate remedial action is needed.
A company should not select a convenient meeting date simply to make an overdue return appear timely. Meeting notices, attendance records, minutes, and resolutions must reflect what actually happened.
Section 130 provides relief where particulars have not changed since the last annual return. Single-member companies and qualifying private companies with paid-up capital not exceeding PKR 3 million have specific treatment. Other companies relying on the no-change provision must give the prescribed intimation; the current Form 24 addresses that requirement.
“No business activity” is not the same as “no change in particulars.” A company may have no sales but still have a new director, a changed address or another reportable development.
Form 29 remains a familiar expression in older company files and banking checklists. For current directors and officers reporting, companies should use the applicable Form 9.
Reportable matters can include appointments, cessation of office and changes in relevant particulars. SECP’s guidance identifies a 15-day filing period for relevant appointments, including auditors and legal advisers. Check each event against section 197, the applicable regulations, and the supporting documents.
An appointment must have the necessary legal basis. Uploading a form does not independently validate a defective election, an unauthorised removal or a resolution passed without the required procedure.
If directors or shareholders dispute an appointment, corporate filing lawyers should review the articles, meeting procedure, voting record, and relevant correspondence before submitting competing information.
Old Form 29 filings may remain relevant to the company’s historical management record. Preserve them alongside later Form 9 submissions rather than treating the change in form numbering as a reason to discard earlier documents.
The required documents depend on the company and the filing. A practical starting file includes:
Missing documents should be identified early. A previous return is a reference point, but don’t copy it without checking what changed afterwards.
We compare the company’s documents with its filing history and prepare a list of completed, missing and inconsistent records. This helps distinguish a straightforward annual return from a wider compliance recovery exercise.
Some matters require an underlying corporate decision or related filing before the annual record can be completed accurately. Corporate filing lawyers should address that sequence instead of entering unsupported information to clear a portal field.
Draft particulars are checked for names, identification numbers, dates, office descriptions and shareholding totals. The company’s authorised representative should review and confirm the information before submission.
The return should be submitted through the prescribed channel with proper authorisation, required authentication and supporting documents. Companies should retain control of their accounts and use authorised access arrangements.
Keep the submitted return, payment evidence, acknowledgment and any subsequent correspondence. A payment receipt alone does not establish that every filing requirement has been completed or that an objection has been resolved.
Overdue corporate filing should begin with a year-by-year review. Filing only the latest return may leave earlier omissions unresolved.
Our legal team can assess missing annual returns, unreported management changes, inconsistent registers and registrar objections. The recovery plan should distinguish additional filing charges from any separate penalty proceedings.
A company should never backdate minutes, invent an AGM or submit a resignation that does not reflect the actual record. Where evidence is incomplete, the appropriate explanation or remedial procedure should be considered.
Our corporate filing lawyers assist Karachi businesses with annual compliance, management changes and corporate record reviews. Appointments can be arranged at our Johar Chowrangi head office or DHA Phase 7 branch.
For Islamabad companies, we assist with document review, statutory filing preparation and follow-up on corporate compliance matters. The registered office and applicable SECP jurisdiction should be checked for each company.
Our legal team assists Lahore businesses with annual returns, officers’ particulars, resolutions and overdue filing reviews. The legal requirements depend on the company’s circumstances rather than the city where advice is obtained.
Corporate filing fees depend on the number of outstanding years, the filings required, document availability, objections and any management dispute. Request an itemised quotation separating professional fees, official charges and additional work.
An SECP annual return is also separate from an FBR income tax return. Financial statements and beneficial ownership compliance require their own assessment. SECP’s current guidance identifies Form 19 for annual ultimate beneficial ownership compliance; an annual-return exemption should not be assumed to remove every other obligation.
The current form is Form 9. Form 29 remains relevant when examining historical filings or responding to an older document checklist.
Form B is the historical reference. The current Form A covers annual returns under both relevant subsections of section 130, so use the current prescribed format.
Assess the obligation alongside the no-change provisions. Company type, paid-up capital and the last filed particulars affect the position.
No. No trading does not create an exemption. Management, ownership and other particulars may still require reporting.
Do not assume that is sufficient. The resignation may require a separate event-based officers’ filing.
Yes, subject to the required authority and authentication. Confirm document and signing requirements before submission.
They can assess the error and identify the appropriate correction process. The remedy depends on the document, the underlying evidence and whether the particulars are disputed.
No. SECP corporate compliance and FBR tax compliance are separate obligations.
Payment is one step. Keep the submission acknowledgement and check whether you need to submit further documents or responses.
A bank may seek documents showing the company’s management history. Clarify whether it needs a historical filing, the current Form 9 or a certified record.
Acceptance depends on complete documents, accurate particulars and regulatory scrutiny. A reliable service should identify the work required without guaranteeing an outcome.
